A detailed operating agreement for Scopebase accounts, estimates, reports, billing, credits, and AI-assisted underwriting workflows.

These Terms explain what you can expect from Scopebase, what we expect from you, and the limits that apply when you use software for pre-inspection repair-cost screening. They are intentionally detailed because Scopebase handles business-critical deal inputs, paid credits, uploaded files, AI-assisted outputs, and third-party data workflows.

Plans, renewals, and credits are handled through in-app billing and Stripe.

Overview and Agreement

Using Scopebase means you accept these Terms and the Privacy Policy.

These Terms of Service govern your access to and use of Scopebase, including the public website, authenticated dashboard, estimate workflows, report pages, billing surfaces, account features, APIs, share links, and related software. By visiting, creating an account, submitting an estimate, uploading materials, starting a checkout, using credits, or otherwise using the service, you agree to these Terms and the Privacy Policy.

  • Organization use: If you use Scopebase for a company, fund, brokerage, contractor group, partnership, or other organization, you represent that you have authority to accept these Terms for that organization.
  • Separate agreements: If we enter into a signed written agreement with you, that agreement controls only where it expressly conflicts with these Terms.
  • No access without agreement: If you do not agree, you may not use the service, submit deal data, upload content, or access paid features.

What Scopebase Provides

Scopebase provides software and decision-support outputs, not guaranteed deal outcomes.

Core product

Scopebase provides AI-assisted real estate repair estimates, underwriting support, property analysis, repair-scope breakdowns, confidence and risk indicators, MAO and deal-screening scenarios, dashboard history, saved reports, share links, actual-cost tracking, billing and credit workflows, and related product features.

Input types

The service may process addresses, property characteristics, repair descriptions, inspection notes, photos, PDFs, contractor bids, invoices, actual-cost records, underwriting assumptions, market context, uploaded documents, account metadata, and related materials you submit or authorize us to process.

Workflow outputs

Outputs may include preliminary scopes, line items, ranges, market notes, risk flags, confidence scores, missing-item warnings, report language, lender-package materials, and other generated or derived information.

Eligibility and Intended Use

Scopebase is built for business users screening real estate deals.

  • Legal capacity: You must be legally able to enter into a binding agreement and use the service under the laws that apply to you.
  • Age: The service is not intended for children. You must be at least 18, or the age of majority in your jurisdiction if higher, to use paid or business features.
  • Business workflow: Scopebase is intended for investors, operators, analysts, lenders, contractors, and similar users making pre-offer buy-or-walk decisions during an option period. It is not intended for emergency repairs, consumer safety decisions, or unreviewed professional deliverables.

Accounts, Credentials, and Admin Responsibility

You are responsible for your account, team, billing, and authorized users.

  • Account accuracy: You must provide accurate account, billing, and contact information and keep it current.
  • Credential security: You are responsible for safeguarding login credentials, sessions, devices, API keys, and team invitations. Notify us promptly if you suspect unauthorized access.
  • Account activity: You are responsible for actions taken under your account, including estimates run, files uploaded, credits used, billing changes, share links created, and team-user activity.
  • Verification: We may require additional verification for account recovery, billing support, suspicious activity, security events, deletion requests, or administrator changes.

Permission to Use the Service

You receive a limited software license, not ownership of the platform.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use Scopebase for your internal business or personal real estate analysis workflows. You may not copy, sell, lease, sublicense, reverse engineer, scrape, model-extract, resell, white-label, or provide access to the service except as expressly allowed in writing.

Your Content and Uploaded Materials

Your content remains yours, but we need rights to process it for the service.

You may submit property data, reports, notes, images, documents, PDFs, estimates, actual costs, invoices, contractor bids, and other materials only if you have the rights and permissions needed to do so.

Ownership

You retain ownership of content you submit, subject to rights owned by others and the license below.

Operational license

You grant Scopebase a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, analyze, transmit, display, and otherwise process your content only as needed to provide, secure, troubleshoot, support, maintain, and improve the service; generate requested outputs; enforce these Terms; and comply with law.

Public or shared outputs

If you create share links, export reports, invite team members, send lender packages, or otherwise make materials available to others, you are responsible for that sharing and for confirming that recipients are authorized to view the information.

Feedback

If you provide suggestions, ideas, bug reports, product requests, or other feedback, we may use it without restriction or compensation, provided we do not disclose your confidential user content except as described in the Privacy Policy.

AI Outputs and Estimate Limitations

AI-assisted outputs are useful for screening, but they are not facts, bids, inspections, or guarantees.

Scopebase uses automated analysis, AI/model providers, retrieval, heuristics, property data, user inputs, and generated intermediate steps to produce outputs. Those outputs can be wrong. They can omit repairs, misclassify severity, use stale pricing, miss local code requirements, misunderstand photos or documents, or fail to account for hidden conditions.

  • Required verification: You must independently verify property condition, contractor pricing, local labor and material costs, permits, taxes, code requirements, hidden defects, environmental risks, title or zoning assumptions, insurance issues, financing terms, ARV, rent, exit strategy, and deal economics.
  • No guarantees: We do not guarantee estimate accuracy, contractor availability, project cost, renovation timeline, financing outcome, appraisal value, resale value, rental income, lender acceptance, investment return, or deal profitability.
  • Screening range: Scopebase reports are pre-inspection repair-risk briefs. Confidence varies by input quality. Flagged items require on-site verification before committing funds. Not a contractor bid or final budget.
Never use Scopebase as the only basis for buying, selling, lending, bidding, renovating, insuring, or making a legally binding commitment on a property.

No Professional Advice

Scopebase does not replace licensed or qualified professionals.

Scopebase does not provide legal, financial, tax, construction, contractor, engineering, architectural, appraisal, inspection, insurance, lending, investment, environmental, code-compliance, or safety advice. Outputs are not contractor bids, inspection reports, appraisals, engineering opinions, permit opinions, professional repair scopes, tax advice, securities advice, loan commitments, or investment recommendations.

Subscriptions, Credits, Billing, and Taxes

Paid access and credits are governed by the in-app plan shown at purchase or renewal.

Plans and renewals

Paid plans, credits, billing cycles, renewal dates, included features, usage limits, overages, team seats, and add-ons are governed by the pricing and plan details shown in the app, checkout, billing portal, invoice, or written order at the time of purchase or renewal.

Payment processor

Payments are processed by Stripe or another payment processor identified at checkout. We do not control every payment-processor decision, bank authorization, card-network rule, dispute process, or tax calculation.

Recurring charges

By starting a subscription, you authorize recurring charges until cancellation takes effect. Cancellation timing, renewal effects, credits, and plan changes are displayed in the app or handled through the billing portal where available.

Credits and paid features

Credits, estimate runs, file parsing, report generation, market-data workflows, and other metered features may be deducted, limited, delayed, reversed, or blocked based on plan rules, server-side entitlement checks, abuse prevention, payment status, or system protection limits.

Refunds

Do not assume refunds are available unless shown in the app, checkout, billing portal, written support response, signed agreement, or required by applicable law. Chargebacks, payment disputes, or failed payments may result in account restrictions.

Taxes

You are responsible for taxes, duties, levies, and similar charges associated with your purchase, except taxes based on our income.

Feature Enforcement and Abuse Controls

Server-side limits protect credits, paid tiers, AI spend, and platform availability.

We may enforce subscription tiers, credit balances, file limits, API limits, rate limits, spend caps, model usage caps, storage limits, share-link restrictions, team-seat limits, export limits, and other controls. Attempts to bypass those controls are prohibited, even if a client-side interface appears to allow the action.

Acceptable Use

Use Scopebase lawfully and do not attack, misuse, or misrepresent the product.

  • Illegal use: Do not use the service to violate laws, regulations, sanctions, contracts, privacy rights, intellectual property rights, lending laws, housing laws, anti-discrimination laws, or consumer-protection rules.
  • Security abuse: Do not probe, scan, exploit, bypass, overload, interfere with, or attempt unauthorized access to accounts, APIs, infrastructure, models, prompts, datasets, storage, billing systems, or third-party providers.
  • Automation abuse: Do not scrape, crawl, bulk-export, benchmark, harvest data, create fake accounts, rotate identities, bypass rate limits, or use automated systems without written permission.
  • AI abuse: Do not attempt prompt injection, jailbreaks, model extraction, hidden instruction disclosure, tool misuse, safety-control bypasses, or using Scopebase outputs to train competing systems unless expressly permitted in writing.
  • Misrepresentation: Do not present Scopebase outputs as guaranteed bids, licensed advice, official inspections, appraisals, lender commitments, or documents prepared by Scopebase for a third party unless the product expressly supports that representation.
  • Harmful content: Do not upload malware, exploit files, unlawful content, confidential information you lack authority to share, or content that infringes another party's rights.

File, Document, and Photo Handling

Uploads are your responsibility and may be processed by third-party infrastructure.

If the service allows uploads, you are responsible for confirming that uploaded files are lawful, accurate, relevant, and safe to process. We may reject, remove, quarantine, resize, transform, parse, summarize, extract, or delete files to protect users, providers, or the service. We may restrict file types, file size, file count, OCR, parsing, photo-analysis, PDF extraction, storage, and download behavior.

Third-Party Services and Data Sources

Scopebase depends on external infrastructure and data providers.

The service may use third-party providers for hosting, database, authentication, payments, email, analytics, observability, AI/model processing, retrieval, geocoding, mapping, property data, market data, file parsing, PDF handling, security, and deployment. Based on the current codebase, providers or integrations may include Vercel, Supabase, Stripe, Resend, PostHog, Vercel Analytics, Sentry, Langfuse, Anthropic, OpenAI, Google/Gemini, Pinecone, Tavily, Perplexity, RentCast, Radar, and HUD-related APIs.

  • Provider terms: Third-party services are governed by their own terms, policies, limitations, outages, pricing, rate limits, and data practices.
  • External data: Property, contractor, market, geocoding, permit, cost, or regional data may be incomplete, outdated, unavailable, estimated, licensed, or subject to provider restrictions.
  • No provider warranty: We are not responsible for third-party downtime, data errors, provider policy changes, deprecations, rate limits, account suspensions, or API failures.

Beta Features, Experiments, and Model Changes

Some features may change quickly or produce unstable results.

We may offer beta, preview, experimental, or limited-release features. These features may be inaccurate, incomplete, changed, rate-limited, removed, or unavailable without notice. AI models, prompts, retrieval behavior, cost assumptions, plan gates, and report formats may change over time as the service improves or provider behavior changes.

Availability, Changes, and Maintenance

No software service is always available or unchanged.

We may add, remove, suspend, limit, modify, or discontinue features at any time. The service may be unavailable due to maintenance, security work, provider outages, model limits, database incidents, deployment issues, abuse controls, payment problems, legal requirements, or circumstances outside our control. We do not promise uninterrupted availability, specific response times, permanent storage, or permanent access to any particular feature or output.

Security Reports and Responsible Disclosure

Report security concerns without exploiting or disclosing them.

If you believe you found a vulnerability, contact support@scopebase.org with enough detail to reproduce the issue. Do not access another user's account or data, disrupt service, exfiltrate data, perform destructive testing, publicly disclose the issue before we can assess it, or demand payment in exchange for withholding disclosure.

Suspension and Termination

Access may be limited for nonpayment, abuse, risk, or legal reasons.

You may stop using the service or cancel a subscription through available account or billing tools. We may suspend, throttle, restrict, or terminate access if we reasonably believe there is nonpayment, fraud, abuse, security risk, legal risk, policy violation, provider requirement, excessive usage, account compromise, harmful content, or conduct that could harm Scopebase, users, providers, or third parties.

  • Effect of termination: Termination may limit or end access to estimates, reports, uploaded files, actual-cost history, share links, billing tools, credits, team features, exports, and paid functionality.
  • Survival: Sections concerning fees owed, intellectual property, user content licenses needed for past operation, disclaimers, limitations of liability, indemnification, disputes, and general legal terms survive termination.

Confidential and Sensitive Information

Do not upload information you are not authorized to process through the service.

You should avoid submitting unnecessary sensitive information, including government IDs, full financial account numbers, health information, tenant information, children's information, trade secrets you are not authorized to share, or regulated data unless the product and your agreement expressly support that use. You are responsible for redacting materials before upload where appropriate.

Disclaimers

The service is provided as is and as available.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOPEBASE AND ITS OUTPUTS ARE PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, ERROR-FREE OPERATION, DATA RETENTION, OR THAT OUTPUTS WILL MEET YOUR NEEDS. YOU USE THE SERVICE, DATA, REPORTS, ESTIMATES, AND AI OUTPUTS AT YOUR OWN RISK.

Limitation of Liability

Liability is limited to the maximum extent allowed by law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Scopebase, ITS OPERATORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS OPPORTUNITY; FAILED DEALS; INVESTMENT LOSSES; CONSTRUCTION OVERRUNS; MISSED REPAIRS; LENDER DECISIONS; APPRAISAL ISSUES; TAX CONSEQUENCES; LOST DATA; BUSINESS INTERRUPTION; OR DAMAGES ARISING FROM RELIANCE ON OUTPUTS, EVEN IF ADVISED OF THE POSSIBILITY. WHERE LIABILITY CANNOT BE EXCLUDED, OUR AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR 100 U.S. DOLLARS.

Indemnification

You are responsible for claims caused by your use, content, or violations.

You agree to defend, indemnify, and hold harmless Scopebase, its operators, employees, contractors, affiliates, and service providers from claims, demands, damages, losses, liabilities, judgments, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising from your content, uploaded materials, use or misuse of the service, breach of these Terms, violation of law, violation of third-party rights, business decisions made using outputs, or disputes with buyers, sellers, lenders, contractors, tenants, partners, or other third parties.

Disputes, Governing Law, and Venue

Disputes must first be attempted informally; binding arbitration applies if informal resolution fails.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Before filing any claim, each party must first send written notice describing the dispute in reasonable detail and allow 30 days to attempt informal resolution. If informal resolution fails, disputes will be resolved by binding individual arbitration administered under the rules of the American Arbitration Association (AAA) Commercial Arbitration Rules. You and Scopebase each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding. Small claims court remains available where applicable. Emergency injunctive or equitable relief may be sought in courts of competent jurisdiction in Travis County, Texas without first exhausting arbitration. Any arbitration will be conducted in English. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Operator: have counsel confirm AAA rules, venue, and class-action waiver enforceability for your specific entity and customer base before launch.

Changes to These Terms

Terms may be updated as the product and legal requirements change.

We may update these Terms when product features, business practices, pricing, providers, law, or risk controls change. The effective date and version number will be updated on this page. Continued use after changes become effective means you accept the updated Terms. Material changes may be communicated through the product, email, or another reasonable method where appropriate.
